  • § 1 Geltungsbereich der AGB

    Nachstehende Geschäfts- und Lieferbedingungen gelten für alle Liefergeschäfte des Verkäufers, der 509 Crew DE GmbH GmbH, Pfarräckerstrasse 36, 90522 Oberasbach, Schweiz, im Folgenden 509 Crew DE GmbH genannt, und dem Verbraucher (nachfolgend Besteller), in ihrer zum Zeitpunkt der Bestellung jeweils gültigen Fassung.

    § 2 Bestellung und Vertragsschluss

     

    • Die Präsentation des Warensortiments von 509 Crew DE GmbH stellt kein verbindliches Angebot i.S.v. § 145 BGB dar. Vielmehr stellt eine Bestellung ein Angebot an 509Crew DE GmbH zum Abschluss eines Kaufvertrages dar.
    • Nach Eingang der Bestellung erhält der Besteller eine E-Mail, in der der Eingang der Bestellung bestätigt und deren Einzelheiten (insbesondere verbindliche Preise) aufgeführt werden (Bestellbestätigung). Diese Bestellbestätigung stellt keine Annahme des Angebotes dar. Ein Kaufvertrag kommt erst durch den Versand des bestellten Produkts an den Besteller (begleitet von einer Versandbestätigung per E-Mail) oder durch den Versand einer gesonderten Auftragsbestätigung per E-Mail zustande. Über Produkte aus einer Bestellung, die nicht in der Versand- oder der Auftragsbestätigung aufgeführt sind, kommt kein Kaufvertrag zustande.
    • Die Auslieferung der Bestellung erfolgt innerhalb von 1-6 Werktagen. Etwaige vorherige Aussagen zu Verfügbarkeit und Versand eines Produktes sind lediglich voraussichtliche Angaben – sie stellen keine verbindlichen oder garantierten Versand- oder Liefertermine dar. Wenn 509 Crew DE GmbH während der Bearbeitung einer Bestellung feststellt, dass bestellte Produkte nicht verfügbar sind, wird 509 Crew DE GmbH dies und – soweit möglich – die voraussichtliche Lieferzeit in der Bestellbestätigung mitteilen. Wenn der Besteller dies wünscht, werden die lieferbaren Produkte seiner Bestellung trotzdem versendet; durch die Aufteilung der Bestellung in mehrere Sendungen können sich die Versandkosten entsprechend erhöhen.
    • Falls 509 Crew DE GmbH ohne eigenes Verschulden zur Lieferung der bestellten Ware nicht in der Lage ist, weil der Vorlieferant von 509Crew DE GmbH seine vertraglichen Verpflichtungen nicht erfüllt, ist 509 Crew DE GmbH dem Besteller gegenüber zum Rücktritt berechtigt. In diesem Fall wird der Besteller unverzüglich darüber informiert, dass das bestellte Produkt nicht zur Verfügung steht. Die gesetzlichen Ansprüche des Bestellers bleiben unberührt.
    • Angaben von 509 Crew DE GmbH über die Ware (technische Daten, Maße etc.) sind nur ungefähre Richtwerte; sie stellen insbesondere nur dann eine Beschaffenheitsvereinbarung oder –garantie dar, wenn die Angabe von 509 Crew DE GmbH ausdrücklich und schriftlich als solche bezeichnet wird.
    • 509 Crew DE GmbH ist berechtigt, die Bestellung auf die haushaltsübliche Menge zu begrenzen. Dies bezieht sich sowohl auf die Anzahl der bestellten Produkte im Rahmen einer Bestellung als auch auf die Aufgabe mehrerer Bestellungen desselben Produkts, bei denen die einzelnen Bestellungen eine haushaltsübliche Menge umfassen.
    • 509 Crew DE GmbH behält sich bei der Zahlungsoption Lastschrift vor, die Bonität des Bestellers vor Entgegennahme der Bestellung in geeigneter Weise zu überprüfen. 509 Crew DE GmbH wird die Auskunft zum Zweck der Entscheidung über die Begründung oder Durchführung des Vertragsverhältnisses nutzen, insbesondere dazu zu entscheiden, ob dem Besteller die Zahlungsoption Lastschrift angeboten wird. Mit der Zustimmung zu diesen AGB erklärt der Besteller sein Einverständnis zu der Übermittlung der Daten und der Bonitätsprüfung. Einzelheiten sind der gesonderten Datenschutzerklärung von 509 Crew DE GmbH zu entnehmen.

    § 3 Zahlungsmodalitäten

     

    • Die auf den Händlerportalen oder im Onlineshop von 509 Crew DE GmbH genannten Preise sind Endpreise in Euro und schließen die derzeit in Deutschland gültige gesetzliche Umsatzsteuer ein. Der Rechnungsbetrag wird mit Annahme der Bestellung (siehe hierzu Punkt 2 der AGB) fällig.
    • Der Besteller kann den Rechnungsbetrag mit der im Online-Shop angebotenen Zahlungsart bezahlen.

    Bei Zahlung per Kreditkarte und PayPal entspricht der Zahlungszeitpunkt dem Zeitpunkt der Bestellung. Bei einer Nutzung des Zahlungsdienstleisters "PayPal" erfolgt die Zahlungsabwicklung über PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg, unter Geltung der PayPal-Nutzungsbedingungen, einsehbar unter www.paypal.com. Dies setzt u. a. voraus, dass der Besteller ein PayPal-Konto eröffnet bzw. bereits über ein solches Konto verfügt.

    Bei Auswahl der Zahlungsart SEPA-Lastschrift ist der Rechnungsbetrag nach Erteilung eines SEPA-Lastschriftmandats, nicht jedoch vor Ablauf der Frist für die Vorabinformation zur Zahlung fällig. Der Einzug der Lastschrift erfolgt, wenn die bestellte Ware das Lager des Verkäufers verlässt, nicht jedoch vor Ablauf der Frist für die Vorabinformation. Vorabinformation ("Pre-Notification") ist jede Mitteilung (z.B. Rechnung) 509Crew DE GmbH´s an den Besteller, die eine Belastung mittels SEPA-Lastschrift ankündigt. Wird die Lastschrift mangels ausreichender Kontodeckung oder aufgrund der Angabe einer falschen Bankverbindung nicht eingelöst oder widerspricht der Besteller der Abbuchung, obwohl er hierzu nicht berechtigt ist, hat der Besteller die durch die Rückbuchung des jeweiligen Kreditinstituts entstehenden Gebühren zu tragen, wenn er dies zu vertreten hat. Außerdem erfolgt bei der Zahlungsoption Lastschrift eine Bonitäts- und Datenprüfung (siehe hierzu § 2 Nr. 8).

    Im Fall einer Zurückweisung der Kreditkartenabbuchung verpflichtet sich der Besteller, nach Erhalt der Leistung innerhalb von 10 Tagen den Preis zzgl. eventuell angefallener Kosten zu zahlen. Zu diesen Kosten gehören u.a. die Kosten, die aufgrund des Widerrufs der Kreditkartenabbuchung entstehen.

     

    • Bitte beachten Sie, dass bei Lieferungen in Nicht-EU-Länder, z.B. Schweiz, USA etc. durch Behörden im Lieferland zusätzliche Zölle und Gebühren erhoben werden.
    • Kommt der Besteller in Zahlungsverzug, so ist 509 Crew DE GmbH berechtigt, Verzugszinsen in Höhe von 5% über dem von der Europäischen Zentralbank bekannt gegebenen Basiszinssatz per annum zu fordern. Falls 509 Crew DE GmbH ein höherer Verzugsschaden nachweisbar entstanden ist, ist 509 Crew DE GmbH berechtigt, diesen geltend zu machen.
    • Der Besteller stimmt hiermit zu, dass 509 Crew DE GmbH berechtigt ist, die Rechnung als elektronische Rechnung (Rechnung, die in einem elektronischen Format ausgestellt und empfangen wird, z.B. als PDF-Dokument) per E-Mail an den Besteller zu senden. 509 Crew DE GmbH kann nach eigenem Ermessen die Rechnung auch auf Papier an den Besteller übersenden.

    § 4 Eigentumsvorbehalt

     

    • Die Ware bleibt bis zur vollständigen Zahlung des Rechnungsbetrages Eigentum von 509 Crew DE GmbH. Der Besteller hat 509 Crew DE GmbH von allen Zugriffen Dritter, insbesondere von Zwangsvollstreckungsmaßnahmen sowie sonstigen Beeinträchtigungen des Eigentums von 509 Crew DE GmbH unverzüglich schriftlich zu unterrichten. Der Besteller hat 509 Crew DE GmbH alle Schäden und Kosten zu ersetzen, die durch einen Verstoß gegen die vorgenannte Verpflichtung entstehen.

    § 5 Versand und Transportschäden

     

    • Sofern nicht anders vereinbart, erfolgt die Lieferung ab Lager Ebersdorf an die vom Besteller angegebene Lieferadresse. Der Versand innerhalb Deutschlands erfolgt entweder mit Spedition, als versichertes Paket durch einen Paketdienstleister oder im Fall von Ersatzteilen als Briefsendung mit der Deutsche Post AG.

    Für den Versand fallen für den Besteller Versandkosten in der jeweils vor Abgabe der Bestellung angezeigten Höhe an. Sollte eine Versendung in mehreren Teillieferungen erfolgen, werden die Versandkosten nur einmal berechnet. Alle Preise beinhalten eine Mehrwertsteuer von 19%.

     

    • 509 Crew DE GmbH ist in zumutbarem Umfang zur Teillieferung berechtigt.

    § 6 Widerrufsrecht für Verbraucher

    Verbrauchern steht ein Widerrufsrecht nach den untenstehenden Maßgaben zu. Verbraucher ist jede natürliche Person, die ein Rechtsgeschäft zu Zwecken abschließt, die überwiegend weder ihrer gewerblichen noch ihrer selbständigen beruflichen Tätigkeit zugerechnet werden können.

    § 7 Gewährleistung

     

    • Ist die gelieferte Ware mangelhaft (Sachmangel), so gelten die gesetzlichen Vorschriften. Die Abtretung der Gewährleistungsansprüche des Bestellers ist ausgeschlossen.
    • Sachmängel sind nicht: Gebrauchsbedingter oder sonstiger natürlicher Verschleiß; Beschaffenheit der Ware oder Schäden, die nach Gefahrübergang infolge unsachgemäßer Behandlung, Lagerung oder Aufstellung, der Nichtbeachtung von Einbau- oder Behandlungsvorschriften, übermäßiger Beanspruchung oder Verwendung oder mangelnder Wartung oder Pflege entstehen; Beschaffenheit der Ware oder Schäden, die aufgrund höherer Gewalt, äußerer Einflüsse, die nach dem Vertrag nicht vorausgesetzt sind, oder aufgrund des Gebrauchs der Ware außerhalb der nach dem Vertrag vorausgesetzten oder gewöhnlichen Verwendung entstehen.
    • Die Gewährleistungsansprüche verjähren nach den gesetzlichen Bestimmungen.

    § 8 Schadensersatz und Haftungsbegrenzung

     

    • 509 Crew DE GmbH haftet für Schadensersatz nur, sofern Vorsatz oder grobe Fahrlässigkeit vorliegt. Für einfache Fahrlässigkeit haftet 509 Crew DE GmbH nur bei der Verletzung einer Pflicht, deren Erfüllung die ordnungsgemäße Durchführung des Vertrages überhaupt erst ermöglicht und auf deren Einhaltung der Besteller regelmäßig vertrauen darf. Im Übrigen ist eine Schadensersatzhaftung für Schäden aller Art, gleich aufgrund welcher Anspruchsgrundlage, einschließlich der Haftung für Verschulden bei Vertragsschluss, ausgeschlossen.
    • Sofern 509 Crew DE GmbH für einfache Fahrlässigkeit haftet, ist die Haftung auf den Schaden begrenzt, mit dessen Entstehen 509 Crew DE GmbH nach den bei Vertragsschluss bekannten Umständen typischerweise rechnen musste.
    • Vorstehende Haftungsausschlüsse und -beschränkungen gelten weder, wenn von 509 Crew DE GmbH eine Garantie abgegeben wurde, noch wenn es um Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit geht oder Ansprüche nach dem Produkthaftungsgesetz bestehen.
    • Ist die Nacherfüllung im Wege der Ersatzlieferung erfolgt, ist der Besteller dazu verpflichtet, die zuerst gelieferte Ware innerhalb von 30 Tagen an 509 Crew DE GmbH auf Kosten von 509 Crew DE GmbH zurückzusenden. Die Rücksendung der mangelhaften Ware hat nach den gesetzlichen Vorschriften zu erfolgen.
    • Soweit die vertragliche Haftung von 509 Crew DE GmbH ausgeschlossen oder beschränkt ist, gilt dies auch für die persönliche Haftung von Mitarbeiter, Erfüllungsgehilfen und sonstiger Dritter, deren sich 509 Crew DE GmbH zur Vertragserfüllung bedient.

    § 9 Datenschutz

    509 Crew DE GmbH behandelt Bestellerdaten mit größter Sorgfalt und legt höchsten Wert auf die Einhaltung des Datenschutzes. 509 Crew DE GmbH erhebt und speichert die für die Geschäftsabwicklung notwendigen Daten des Bestellers. Bei der Verarbeitung der personenbezogenen Daten des Bestellers beachtet 509 Crew DE GmbH die gesetzlichen Bestimmungen. Einzelheiten sind der gesonderten Datenschutzerklärung von 509 Crew DE GmbH zu entnehmen.

    Vertragsunterlagen einschließlich AGB werden von der 509 Crew DE GmbH GmbH elektronisch gespeichert. Diese werden Ihnen durch Zusendung der E-Mails „Auftragsbestätigung" und „Vertrags-, Zahlungs- und Lieferbestätigung" zugänglich gemacht.

    § 10 Anwendbares Recht und Gerichtsstand

     

    • Auf die vertraglichen Beziehungen zwischen 509 Crew DE GmbH und dem Besteller findet das Recht der Bundesrepublik Deutschland Anwendung. Von dieser Rechtswahl ausgenommen sind die zwingenden Verbraucherschutzvorschriften des Landes, in dem der Besteller, soweit er Verbraucher ist, seinen gewöhnlichen Aufenthalt hat. Die Anwendung des UN-Kaufrechts ist ausgeschlossen.
    • Im Geschäftsverkehr mit Kaufleuten und mit juristischen Personen des öffentlichen Rechts gilt als Erfüllungsort und Gerichtstand für alle aus diesem Vertrag sich ergebenden Rechtsstreitigkeiten, einschließlich Wechsel- und Scheckklagen, 9400 St. Gallen, Schweiz. Dieser Gerichtsstand gilt auch bei einem Besteller, der nicht Vollkaufmann ist und in der Schweiz keinen allgemeinen Gerichtsstand hat oder wenn er nach Vertragsabschluss seinen Wohnort oder gewöhnlichen Aufenthaltsort aus diesem Gebiet verlegt oder sein Wohnsitz oder gewöhnlicher Aufenthalt im Zeitpunkt der gerichtlichen Geltendmachung des Anspruchs nicht bekannt ist.

    § 11 Alternative Streitbeilegung

    Wir sind nicht verpflichtet und nicht bereit, an Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle teilzunehmen. Wir ziehen es vor, Ihre Anliegen im direkten Austausch mit Ihnen zu klären.

    § 12 Schlussbestimmung

     

    • Änderungen oder Ergänzungen dieser Geschäftsbedingungen bedürfen der Schriftform. Dies gilt auch für die Aufhebung dieses Schriftformerfordernisses.
    • Bei Unwirksamkeit einzelner Bestimmungen des Liefervertrages oder dieser Allgemeinen Geschäftsbedingungen bleiben die übrigen Bestimmungen weiterhin wirksam. In diesem Fall wird die unwirksame Bestimmung von den Vertragsparteien einvernehmlich durch eine solche Bestimmung ersetzt, welche dem wirtschaftlichen Sinn und Zweck der unwirksamen Bestimmung in rechts-wirksamer Weise am nächsten kommt.

  • § 1 Scope of the General Terms and Conditions

    The following terms and conditions of business and delivery apply to all delivery transactions of the seller, 509 Crew DE GmbH GmbH, Käserenstrasse 3c, 9404 Rorschacherberg, Switzerland, hereinafter referred to as 509 Crew DE GmbH, and the consumer (hereinafter referred to as the customer), in the version valid at the time of the order.

    § 2 Order and conclusion of contract

     

    • The presentation of the 509 Crew DE GmbH product range does not constitute a binding offer within the meaning of Section 145 BGB. Rather, an order represents an offer to 509 Crew DE GmbH to conclude a purchase contract.
    • After receipt of the order, the customer receives an email in which the receipt of the order is confirmed and its details (in particular binding prices) are listed (order confirmation). This order confirmation does not constitute an acceptance of the offer. A purchase contract is only concluded when the ordered product is dispatched to the customer (accompanied by a dispatch confirmation by email) or by the dispatch of a separate order confirmation by email. No sales contract is concluded for products from an order that are not listed in the dispatch or order confirmation.
    • The order will be delivered within 1-6 working days. Any previous statements on the availability and shipping of a product are only approximate - they do not represent binding or guaranteed shipping or delivery dates. If 509 Crew DE GmbH determines during the processing of an order that the products ordered are not available, 509 Crew DE GmbH will do so and - if so possible - indicate the expected delivery time in the order confirmation. If the customer so wishes, the deliverable products of his order will be shipped anyway; By dividing the order into several shipments, the shipping costs may increase accordingly. 4. If 509 Crew DE GmbH is unable to deliver the ordered goods through no fault of its own because 509 Crew DE GmbH's sub-supplier does not fulfil his contractual obligations, 509 Crew DE GmbH is entitled to withdraw from the contract with the customer. In this case, the customer will be informed immediately that the ordered product is not available. The legal rights of the customer remain unaffected.
    • If 509 Crew DE GmbH is unable to deliver the ordered goods through no fault of its own because 509 Crew DE GmbH's sub-supplier does not fulfill his contractual obligations, 509 Crew DE GmbH is entitled to withdraw from the contract with the customer. In this case, the customer will be informed immediately that the ordered product is not available. The legal rights of the customer remain unaffected.
    • Information from 509 Crew DE GmbH about the goods (technical data, dimensions, etc.) are only approximate guide values; In particular, they only represent an agreement or guarantee of quality if the information is expressly designated as such by 509 Crew DE GmbH in writing.
    • 509 Crew DE GmbH is entitled to limit the order to the normal household quantity. This relates both to the number of products ordered as part of an order and to the placing of several orders for the same product, in which the individual orders comprise a quantity that is normal for a household.
    • With the direct debit payment option, 509 Crew DE GmbH reserves the right to check the customer's creditworthiness in a suitable manner before accepting the order. 509 Crew DE GmbH will use the information for the purpose of deciding on the establishment or implementation of the contractual relationship, in particular to decide whether the customer is offered the direct debit payment option. By agreeing to these terms and conditions, the customer declares his consent to the transmission of the data and the credit check.     § 3 Payment modalities

     

    • The prices quoted on the dealer portals or in the 509 Crew DE GmbH online shop are final prices in euro’s and include the statutory sales tax currently applicable in Germany. The invoice amount is due upon acceptance of the order (see point 2 of the General Terms and Conditions).
    • The customer can pay the invoice amount using the payment method offered in the online shop.

    When paying by credit card and PayPal, the time of payment corresponds to the time of the order. When using the payment service provider "PayPal", payment is processed via PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg, subject to the PayPal Terms of Use, available at www.paypal.com. This implies, inter alia. requires that the customer opens a PayPal account or already has such an account.

    If the SEPA direct debit payment method is selected, the invoice amount is due for payment after a SEPA direct debit mandate has been issued, but not before the deadline for the advance information has expired. The direct debit is collected when the ordered goods leave the seller's warehouse, but not before the deadline for prior information has expired. Advance information ("Pre-Notification") is every message (e.g. invoice) 509 Crew DE GmbH's to the customer, which announces a debit by means of SEPA direct debit. If the direct debit is not redeemed due to insufficient funds in the account or due to the provision of incorrect bank details, or if the customer objects to the direct debit, although he is not entitled to do so, the customer must bear the fees incurred by the respective bank if he is responsible for this . In addition, a creditworthiness and data check is carried out with the direct debit payment option (see Section 2 No. 8).

    If the credit card is rejected, the customer undertakes to pay the price plus any costs incurred within 10 days of receipt of the service. These costs include the costs that arise due to the cancellation of the credit card charge.

     

    • Please note that for deliveries to non-EU countries, e.g. Switzerland, USA etc., additional customs duties and fees will be charged by the authorities in the delivery country.
    • If the customer is in default of payment, 509 Crew DE GmbH is entitled to demand default interest of 5% above the base rate announced by the European Central Bank per annum. If 509 Crew DE GmbH demonstrably incurred higher default damage, 509 Crew DE GmbH is entitled to assert this.
    • The customer hereby agrees that 509 Crew DE GmbH is entitled to send the invoice to the customer as an electronic invoice (invoice that is issued and received in an electronic format, e.g. as a PDF document) by email. 509 Crew DE GmbH can also send the invoice to the customer on paper at its own discretion.

    § 4 Retention of title

     

    • The goods remain the property of 509 Crew DE GmbH until the invoice amount has been paid in full. The customer must inform 509 Crew DE GmbH immediately in writing of all access by third parties, in particular of foreclosure measures and other impairments of 509 Crew DE GmbH's property. The customer has to reimburse 509 Crew DE GmbH for all damages and costs that arise from a breach of the aforementioned obligation.

    § 5 Shipping and transport damage

     

    • Unless otherwise agreed, delivery will be made from the warehouse to the delivery address specified by the customer. Shipping within Germany is carried out either with a forwarding agent, as an insured package by a parcel service or, in the case of spare parts, by mail with Deutsche Post AG.

    For shipping, the customer incurs shipping costs in the amount indicated before the order was placed. If a shipment is made in several partial deliveries, the shipping costs will only be charged once. All prices include 19% VAT.

     

    • 509 Crew DE GmbH is entitled to make partial deliveries to a reasonable extent.

    § 6 Right of withdrawal for consumers

    Consumers have a right of withdrawal in accordance with the provisions below. A consumer is any natural person who concludes a legal transaction for purposes that are predominantly neither commercial nor self-employed. Right of withdrawal We refer to our separately shown cancellation policy

    § 7 Warranty

     

    • If the delivered goods are defective (material defect), the statutory provisions apply. The assignment of the purchaser's warranty claims is excluded.
    • Defects are not: Use-related or other natural wear and tear; Condition of the goods or damage that occurs after the transfer of risk as a result of improper handling, storage or installation, non-compliance with installation or handling instructions, excessive stress or use or insufficient maintenance or care; Condition of the goods or damage that arises due to force majeure, external influences that are not assumed in the contract, or due to the use of the goods outside of the normal or normal use stipulated in the contract.
    • The warranty claims expire in accordance with the statutory provisions.

    § 8 Compensation for Damages and Limitation of Liability

     

    • 509 Crew DE GmbH is only liable for damages if there is intent or gross negligence. For simple negligence, 509 Crew DE GmbH is only liable in the event of a breach of an obligation, the fulfilment of which enables the proper execution of the contract in the first place and on the compliance of which the customer can regularly rely. In addition, liability for damages of any kind, regardless of the basis of the claim, including liability for negligence when concluding the contract, is excluded.
    • If 509 Crew DE GmbH is liable for simple negligence, the liability is limited to the damage that 509 Crew DE GmbH would typically have to expect based on the circumstances known when the contract was concluded.
    • The above exclusions and limitations of liability do not apply if 509 Crew DE GmbH has issued a guarantee, nor if it concerns damage resulting from injury to life, limb or health, or if there are claims under the Product Liability Act.
    • If the supplementary performance has been made by means of a replacement delivery, the customer is obliged to return the goods initially delivered to 509 Crew DE GmbH within 30 days at 509 Crew DE GmbH's expense. The return of the defective goods must take place in accordance with the statutory provisions.
    • As far as the contractual liability of 509 Crew DE GmbH is excluded or limited, this also applies to the personal liability of employees, vicarious agents and other third parties whom 509 Crew DE GmbH uses to fulfil the contract.

    § 9 Data protection

     

    • 509 Crew DE GmbH treats customer data with the greatest care and attaches great importance to compliance with data protection. 509 Crew DE GmbH collects and stores the customer's data necessary for business transactions. When processing the personal data of the customer, 509 Crew DE GmbH complies with the statutory provisions.     § 10 Applicable law and place of jurisdiction

     

    • The law of the Federal Republic of Germany applies to the contractual relationships between 509 Crew DE GmbH and the customer.     § 12 Final clause

     

    • Changes or additions to these terms and conditions must be made in writing. This also applies to the cancellation of this written form requirement.
    • If individual provisions of the delivery contract or these general terms and conditions are ineffective, the remaining provisions remain in effect. In this case, the ineffective provision will be mutually replaced by the contracting parties with a provision that comes closest to the economic sense and purpose of the ineffective provision in a legally effective manner.
